PART 1
THE GOLDEN FÈVE ARTISANS’ CHRISTMAS COMPETITION 2018, FROM DECEMBER 1 TO DECEMBER 25, 2018 (INCLUSIVE)

Article 1 – PRESENTATION
VALRHONA (henceforth referred to as “the Organizer”) is a simplified joint stock company with a capital of €1,539,990 and registered under no. 435 480 520 of the Romans Companies Register. From December 1 to December 25, 2018 (inclusive), the Organizer will be conducting a competition (hereinafter “the Competition”), eligibility for which is dependent on making a Valrhona purchase.

Article 2 – CONDITIONS FOR PARTICIPATION
The competition is open to any individual aged 18 or over (on the date of participation in the Competition) who is capable of exerting their legal rights on the day on which they take part.
Anyone who wishes to take part in the Competition must first purchase a Christmas chocolate identified by an artisan from a store participating in the Competition during its running period.
The following people are excluded from taking part in the Competition and from receiving any prize, in any form, either directly or indirectly:
• Members of the Organizer company; companies and sub-contractors involved in organizing the Competition; their employees; their service providers and their immediate family (spouses, parents, children, siblings, nieces, nephews, uncles, aunts, and cousins).
• Anyone who has acted dishonestly in order to take part in the Competition, in infringement of its terms & conditions.
The participant confirms that they comply with conditions for participation in the Competition and that they respect the present terms & conditions and applicable legislation. The Organizer reserves the right to check that winners are in compliance with the above conditions. The Organizer reserves the right to exclude any person who does not respect the terms & conditions.

Article 3 – THE PRIZES

a) Main Prizes (“Golden Fèves”)
Available as prizes are 12 Relais & Châteaux “Amazing Vacations” for 2 people with a per-unit sales value of €399.00 (incl. taxes) (total value incl. taxes: €4788.00).
The 12 “Amazing Vacations” (which are the main prize) can be won from among all the available tickets, there being 12 winning tickets among the 1,250,000 printed.
The 12 tickets through which the main prizes are awarded have been allocated at random among the entire batch of tickets during the printing process, under the supervision of a bailiff, in the following way:
• 5 “main prize” tickets have been allocated at random among the 1,000,000 tickets printed in French,
• 2 “main prize” tickets have been allocated at random among the 125,000 tickets printed in Italian,
• 2 “main prize” tickets have been allocated at random among the 25,000 tickets printed in German,
• 2 “main prize” tickets have been allocated at random among the 75,000 tickets printed in Spanish,
• 1 “main prize” ticket has been allocated at random among the 25,000 tickets printed in English.
Main prizes cannot be exchanged or refunded in any way. Prizes can be collected from Valrhona by sending an email to jeu.concours@valrhona.fr before 01/31/2019.

b) Second prizes (“Silver Fèves”)

The prizes contained in each kit are comprised of the following:
• 20 Golden Fève keyrings with a per-unit sales value of €3.00 (incl. taxes), with a total of 51,000 keyrings (with a value of €153,000 incl. taxes) being used in the whole operation.
• 50 coloring books with a per-unit sales value of €1.50 (incl. taxes), with a total of 127,500 coloring books (with a value of €191,250 incl. taxes) being used in the whole operation.
These prizes cannot be exchanged or refunded in any way. These prizes are given by the artisan to his or her customers in exchange for a “second prize” winning ticket.

Article 4 – HOW TO TAKE PART – THE KEY ELEMENTS OF THE COMPETITION
a) Obtaining a scratch card
For the Competition’s entire running period, anyone who meets the conditions stipulated in Article 2 above and who buys a Christmas chocolate identified by an artisan participating in the operation will receive a scratch card from the artisan at the store checkout. The artisan defines the specific ways in which the scratch card is handed over to the customer. There is no minimum purchase requirement, and the artisan may alter the way in which scratch cards are distributed in any way he or she deems desirable.

Scratch cards are allocated while stocks last. 1,250,000 scratch cards (500 cards x 2000 French-language kits; 500 cards x 250 Italian-language kits; 500 cards x 50 German-language kits; 500 cards x 150 Spanish-language kits; and 500 cards x 50 English-language kits) will be created by the Organizer during the Competition running time and will be distributed among stores participating in the Competition. Should stocks of scratch cards be exhausted, the Competition will be declared over in the affected store(s).

b) Using the scratch card and receiving the relevant prize
Once he or she has received a scratch card, the participating consumer can scratch off the card’s grayed out zone either immediately or at a later time, within the limits of the operation’s running time: Up to December 25, 2018 (inclusive) during the store’s opening hours.
Once the participating consumer has scratched off the card’s grayed out zone, it will display one of four potential results:
– Either “Congratulations! You have won a keyring,” in which case he or she will receive the relevant prize immediately;
– Or “Congratulations! You have won a coloring book,” in which case he or she will receive the relevant prize immediately;
– Or “Congratulations! You have won an Amazing Vacation,” in which case the participating consumer collects his or her prize by contacting Valrhona before January 31, 2019 at the following address: jeu.concours@valrhona.fr. He or she must indicate the ticket number written under “Congratulations! You have won an Amazing Vacation”.
– Or “Bad luck! Try again at lafevedenoel.com”.

– Receiving the Main Prize
The consumer can scratch his or her card whenever he or she wishes, up to the end of the Christmas Competition, December 25, 2018 (inclusive). To collect a main prize, he or she must send an email to jeu.concours@valrhona.fr before January 31 2018, indicating the ticket number written underneath “Congratulations! You have won an Amazing Vacation”. He or she must provide a postal address so that the vacation gift pack can be sent to him or her.
Concerning apportionments, the organizing company accepts no liability whatsoever relative to the transport of the distributed apportionment. The organizing company will not be held responsible for delays and/or losses in transit with the postal services or transporters, nor for the total or partial destruction of prizes by this type of transport or in the event of the failure of these services, or for any other situation. The organizing company refuses all responsibility with regards to the state of the prize upon delivery or of faults in packaging manufacturing; the winner will make any eventual recourse against the transporter their own business.
In the event of a prize being returned due to a change of address, of failure to claim, of wrong or incomplete address, the organizing company will not be held responsible and the prize will be considered as having been lost and will remain the property of the organizing company.
If the consumer does not present him or herself before January 31, 2019, he or she will no longer be able to collect the prize. Any of the 12 vacation gift packs which are not awarded will be distributed among Valrhona customers who are participating in the Christmas 2018 Competition. The vacation gift packs will then be awarded at random through a prize draw.
 Awarding the Second Prize
The consumer can scratch his or her card whenever he or she wishes and collect his or her second prize whenever he or she wishes in the store where the relevant purchase takes place, during its opening hours and until the end of the Christmas Competition: Up to December 25, 2018 (inclusive).

The prize will be awarded in the store in which the scratch card was received. The consumer must present the winning scratch card at the checkout, until December 25, 2018 (inclusive).

c) Find participating outlets using the Valrhona Store Locator & via the communications campaign
– Finding outlets using the Store Locator
For the duration of the Competition, from December 1, 2018 to December 25, 2018, all Valrhona customers taking part in the Christmas Competition will be displayed by Valrhona on the dedicated Store Locator (“FIND OUT WHERE TO TASTE VALRHONA”). This allows internet users who access www.valrhona.com to easily locate their nearest Valrhona customer outlets participating in the Christmas Competition 2018.
If customers taking part in the Competition do not wish their outlet to feature on the FIND OUT WHERE TO TASTE VALRHONA section of www.valrhona.com, they must make the relevant request by contacting Valrhona’s customer service before November 30, 2018.
Valrhona accepts no responsibility for any technical faults which might prevent one or more outlets from featuring on the website.
– Communications campaign
For the duration of the Competition, VALRHONA will run a concurrent communications campaign on social networks, its website and a website created to promote the Golden Fève Competition, lafevedenoel.valrhona.com.
This communications campaign has a double objective:
– Promoting artisans who are taking part in the Competition among its online followers by allowing these followers to identify nearby artisans using the Store Locator.
– Offering all internet users the chance to explore the Valrhona brand using the Competition website lafevedenoel.valrhona.com and to win one prize per day until December 25, 2018.

Article 5 – FORCE MAJEURE
In the case of an instance of force majeure or any other circumstance which falls outside the Organizer’s responsibility or which results in prizes being unavailable, the Organizer reserves the right to substitute other prizes of an equivalent nature and value. Moreover, the winner cannot reclaim the prize’s cash value, ask that it be replaced with another prize or alter his or her prize in any way.
The Organizer company VALRHONA will not be held responsible if, due to an instance of force majeure or any event which falls beyond its liability, it cancels, curtails, interrupts, postpones or delays the Competition, or modifies its terms & conditions or dates. In all circumstances, the Organizer company VALRHONA reserves the right to extend the running time of the Competition.

Article 6 – LIMITATION OF LIABILITY
The Organizer company VALRHONA accepts no responsibility for any event which might occur when a person makes use of their prize.
The Organizer company VALRHONA accepts no responsibility for any eventuality for which it is not strictly and personally liable.
Neither the Organizer company VALRHONA, nor its promotion and publicity agents; directors; administrators; employees; or representatives accept responsibility for any loss or damage experienced by the winners. Neither do they accept any responsibility for any person or item of property should they be prejudiced in any way, in part or in full, directly or indirectly, by a person’s acceptance and use of a prize or by his or her participation in the Competition.
All monies payable, judgements and attributions will be limited to expenses incurred, including costs associated with participation in the Competition but excluding in all circumstances legal fees.

Article 7 – FULL TERMS & CONDITIONS AND ACCESS THERETO
The full terms & conditions for the Competition are held at the following bailiff’s office: 812 – Huissiers, Huissiers de Justice Associés, 15 passage du Marquis de la Londe, 78000 Versailles, France. They are available to consult in each participating store and on www.valrhona.com.

Article 8 – DISPUTES
When an individual participates in the Competition, they fully and unreservedly accept the present Terms & Conditions.
The Organizer company VALRHONA may suspend or cancel one or more individuals’ participation in the Competition should it suspect any dishonesty on their part.

The Organizer company VALRHONA is the only body empowered to exclude or readmit any affected participants in light of information it possesses. The Organizer company VALRHONA accepts no liability therein.
Article 9 – AUTHORIZATIONS
When they participate in the Competition, the winners of the “Amazing Vacations” (the main prize) commit to authorizing the Organizer company VALRHONA and/or participating artisans to reproduce, publish and display their picture through any channel they wish (for example email, paper-based documents, social networks and websites).

Article 10 – INTELLECTUAL PROPERTY RIGHTS
Participating in the Competition confers no rights upon the participants as regards intellectual property related to the Competition, communications about the Competition and its format.
All information of any kind, (especially text; graphics; logos; icons; images; graphic designs; audio or visual clips; branding; and software), which appears on VALRHONA’s channels or website is naturally protected by copyright, trademarks and all other rights regarding intellectual property. It belongs to VALRHONA or to third-parties who have authorized VALRHONA to make use of them.

Article 11 – APPLICABLE LAW – COURTS HAVING JURISDICTION
These Terms & Conditions are subject to French law.
In the event of any dispute over these Terms & Conditions, and in particular any dispute as to their interpretation and/or application, the Organizer company Valrhona and competition participants grant the Tribunal de Grande Instance de Valence (Drôme, France) exclusive authority to adjudicate. The Organizer company Valrhona cannot be brought before any other court for any other reason.
If any part of the provisions presented herein is partially or entirely nullified, the validity of the remaining provisions is not affected.

THE GOLDEN FÈVE CHRISTMAS COMPETITION 2018 ONLINE OPERATION, FROM DECEMBER 1 TO DECEMBER 25, 2018 (INCLUSIVE)

Article 1 – PRESENTATION
VALRHONA (henceforth referred to as “the Organizer”) is a simplified joint stock company with a capital of €1,539,990 and registered under no. 435 480 520 of the Romans Companies Register. From December 1 to December 25, 2018 (inclusive), the Organizer will be conducting a competition (hereinafter “the Competition”), eligibility for which is not dependent on making a Valrhona purchase.
The competition is open to any individual over 18 and with an internet connection, who has formerly accepted the Terms and Conditions of participation in accordance with French data protection laws. A single participation per individual per day is accepted throughout the duration of the competition.

Article 2 – CONDITIONS FOR PARTICIPATION
The competition is open to any individual aged 18 or over (on the date of participation in the Competition) who is capable of exerting their legal rights on the day on which they take part.
Anyone who wishes to take part in the Competition must access the website lafevedenoel.valrhona.com by clicking on the following address. The website is accessible for the duration of the Competition.

The following people are excluded from taking part in the Competition and from receiving any prize, in any form, either directly or indirectly:
• Members of the Organizer company; companies and sub-contractors involved in organizing the Competition; their employees; their service providers and their immediate family (spouses, parents, children, siblings, nieces, nephews, uncles, aunts, and cousins).
• Anyone who has acted dishonestly in order to take part in the Competition, in infringement of its terms & conditions.

Article 3 – PROCEDURE & IDENTIFYING WINNERS
• Hidden Fèves on the map
Every day from December 1 to 24, 2018 (inclusive) players can look for a Silver Fève hidden on the interactive map on lafevedenoel.valrhona.com. On December 25, 2018, they can look for a Golden Fève.
Silver Fèves and a Golden Fève will be hidden in locations linked to VALRHONA. Clues for finding them may be given via VALRHONA’s social networks or lafevedenoel.valrhona.com.
To find that day’s hidden Fève, the participant must move around and zoom in on the map.
• Social networks
Once the participant has found a fève hidden on the map, he or she may share this on social networks after they have filled in their personal details. When he or she shares information on social networks in this way, he or she doubles their chance of winning the prize of the day.
• Identifying the winners of the 24 Silver Fèves
If the participant finds the hidden Silver Fève, he or she must provide personal details so that they can enter the prize draw in the hope of winning the prize of the day. Each day’s prize draw to identify the winner on that date will be conducted under the supervision of a bailiff.
• Identifying the winner of the Golden Fève
If a participant finds a hidden Golden Fève, he or she must provide their personal details to take part in the prize draw and potentially win an Amazing Vacation.
The prize draw to determine the Golden Fève winner will be conducted under supervision from a bailiff. It includes all Competition participants who have uncovered one or more Fèves (Silver and/or Golden) throughout the duration of the Competition, i.e.: everyone who has taken part from December 1 to 25, 2018 (inclusive).
The greater the number of Fèves a participant finds, the greater their chances of winning an Amazing Vacation. The prize draw also includes players who have communicated about their participation on social networks (their chances are multiplied by 2).
Article 4 – DEFINITIONS AND THE VALUE OF PRIZES
Apportionments involved:
– 24 Silver Fèves: 24 bundles of a unitary value of approximately €25 incl. VAT. (Chocolates, recipe books, cooking equipment, etc.)
– 1 Golden Fève: 1 Amazing Vacation for 2 people in a Relais & Châteaux establishment, with a per-unit sales value of €399 (incl. taxes).
Article 5 – DISTRIBUTION OF BUNDLES
The prize winners (Silver Fèves and Golden Fèves) will be contacted by email within one week of the prize draw so that they can provide their postal address and therefore receive their prize. If they do not respond to the relevant email before January 31, 2019, they lose their right to claim their prize.
Their prizes will be sent within the 4 weeks that follow the prize draw, so long as the winner has provided their postal address.
The organizing company’s responsibility is strictly limited to the delivery of the prize effectively and justifiably won.
In the event of force majeure or of any other circumstance outside of their control, the organizing company reserves the right to substitute the prize won by a prize of equivalent nature and value.
The organizing company refuses all responsibility relative to the dissatisfaction of the winner concerning their prize. The prize may not be grounds for any dispute whatsoever, nor for award of their monetary value in cash, nor for their exchange or replacement.
Concerning apportionments, the organizing company accepts no liability whatsoever relative to the transport of the distributed apportionment. Article 6 – INTERNET
The organizing company reminds participants of the internet’s specific characteristics and limitations, and refuses all responsibility related to participants’ connections to this site.
The organizing company will not be held liable for any potential viral contamination or intrusion by a third-party in the system of the competition participant’s computer terminal.
The organizing company refuses all liability should one or more participant(s) be unable to connect to the site due to technical faults or any other issue, especially problems linked to network congestion. The organizing company will make every effort in order to enable access to the competition website.
Any interrupted connection will be considered as null and void. Incomplete or false personal details, or details given in such a manner as is controversial to the Terms & Conditions herein will result in the disqualification of the player and the cancellation of their participation and their prize. The organizing company reserves the right to prosecute anyone who has committed fraud or attempted to do so.

Article 7 – FORCE MAJEURE
